Creator & Performer Agreement

This Creator & Performer Agreement ("Agreement") is a legally binding contract between you ("Creator," "Performer," or "you") and ISM Studio LLC ("we," "us," "Platform," or "Erotic Effect"), the operator of the Erotic Effect platform. By applying for, activating, or operating a creator account you accept this Agreement in full. Do not create an account if you do not agree.

1. Eligibility

To be a Creator on this Platform you must:

• Be at least 18 years of age at the time of application;
• Possess a valid government-issued photo ID that establishes your legal name, date of birth, and nationality;
• Reside in a jurisdiction where adult content creation is not prohibited by applicable law;
• Not be a minor, and not depict, solicit, or involve any minor in any content;
• Have the legal capacity to enter into a binding agreement in your jurisdiction.

We reserve the right to request additional identity verification at any time. Applications from jurisdictions that prohibit adult content platforms or that are subject to U.S. sanctions may be declined.

2. Identity Verification and 2257 Recordkeeping

We are required by 18 U.S.C. § 2257 and 28 C.F.R. Part 75 to maintain records establishing that every person who appears in sexually explicit content was 18 years of age or older at the time of production.

Before publishing any content on this Platform you must:

1. Submit a legible copy of your government-issued photo ID (passport, driver's license, national ID card, or equivalent);
2. Submit a completed 2257 performer information form disclosing your legal name, all names used professionally, and your date of birth;
3. For any content in which other performers appear, supply the same documentation for each such performer and certify that you obtained their voluntary, informed consent before recording.

Records are maintained by the Custodian of Records designated under 18 U.S.C. § 2257: Ethan Hunt, 30 N Gould St Ste N, Sheridan, WY 82801. Records are available for inspection during regular business hours as required by law.

You warrant that all such representations are accurate. Any false or fraudulent submission constitutes an immediate material breach of this Agreement and may be reported to applicable law-enforcement authorities.

3. Content Ownership and License

You retain all copyright and other intellectual-property rights in the content you upload. By publishing content on the Platform you grant ISM Studio LLC a non-exclusive, worldwide, royalty-free license to host, display, distribute, transcode, and deliver your content to authorized subscribers for so long as the content remains published on the Platform.

You warrant that: (a) you are the sole creator of the content or hold all necessary rights; (b) the content does not infringe any third-party copyright, trademark, or other proprietary right; (c) you have obtained all necessary consents from any persons who appear in the content.

Upon termination of your account or removal of specific content you may request deletion of the content from our servers, subject to applicable legal hold obligations and the rights of subscribers who have already downloaded or purchased access. We will honor deletion requests within 30 days absent a legal basis to retain the content.

4. Prohibited Content

The following categories of content are strictly prohibited and will result in immediate account termination and, where required by law, referral to appropriate authorities:

• Any content depicting, soliciting, or promoting the sexual exploitation of a minor (CSAM). We report all apparent violations to the National Center for Missing & Exploited Children (NCMEC) and cooperate fully with law enforcement;
• Non-consensual sexual content, including content that depicts or simulates non-consensual acts in a manner presented as real;
• Content that promotes, facilitates, or advertises sex trafficking, forced prostitution, or any form of human trafficking;
• Content depicting real violence, torture, or acts that would constitute a criminal offense;
• Doxxing or non-consensual sharing of private personal information;
• Content that constitutes defamation, harassment, or targeted abuse;
• Any content that violates applicable federal, state, or local law in the United States or in the jurisdiction of the intended audience.

5. Consent and Performer Agreements

Where your content includes other performers you are solely responsible for:

• Obtaining prior, explicit, written (or verifiably documented) consent from each performer before recording;
• Retaining a copy of each performer's consent documentation and making it available to us upon request;
• Informing each performer of their right to revoke consent at any time and providing a mechanism to do so.

A revocation of consent by any performer requires you to remove all applicable content from the Platform within 48 hours of receiving notice of revocation. Our platform-level consent revocation process is described at /legal/revoke-consent.

6. Revenue Share and Payouts

You earn revenue from fan subscriptions, tips, pay-per-view purchases, and other monetization features we make available. The Platform retains a platform fee of 20% on gross revenue generated by your account. You receive the remaining 80%, less applicable payment-processing fees charged by our payment partners.

Payouts are processed on a bi-weekly basis, subject to a minimum payout threshold that we will disclose in your account dashboard. Payouts are made via the payout method you designate in your account settings. We are not responsible for delays caused by your payment provider or international banking intermediaries.

We reserve the right to withhold a payout where: (a) your account is under investigation for policy violations; (b) a chargeback dispute is pending; or (c) we are required to do so by law or court order. We will notify you promptly of any hold and its expected duration.

7. Tax Obligations

You are solely responsible for all tax obligations arising from your earnings, including income tax, self-employment tax, VAT, or equivalent taxes in your jurisdiction. We will issue applicable U.S. tax forms (e.g., IRS Form 1099-NEC or 1042-S) to eligible creators as required by law. Non-U.S. creators may be required to submit a completed IRS Form W-8BEN or W-8BEN-E before payouts can be processed.

8. Account Suspension and Termination

We may suspend or terminate your account at any time if we determine, in our sole but reasonable discretion, that you have violated this Agreement, our Terms of Service, or applicable law. Grounds for termination include but are not limited to: uploading prohibited content, providing fraudulent identity documentation, engaging in harassment of fans or other creators, or initiating fraudulent chargebacks.

Upon termination you will receive any earned, unpaid balance that has cleared the applicable chargeback window, less any amounts owed to us for policy violations, returned payments, or other liabilities. Content you published will be immediately unpublished and may be permanently deleted.

You may close your account at any time through your account settings. Account closure does not affect obligations that accrued prior to closure.

9. Compliance with Payment Processor Requirements

This Platform processes payments through third-party payment processors, currently including CCBill LLC. By creating a creator account you acknowledge that your content and activities on the Platform are subject to the terms and acceptable-use policies of those payment processors. We may remove or restrict access to content that our payment processors flag as non-compliant, without advance notice, to preserve the Platform's payment processing capabilities.

10. Anti-Trafficking and FOSTA-SESTA

This Platform prohibits any use that promotes, facilitates, or constitutes sex trafficking, forced labor, or any form of human trafficking as defined under 18 U.S.C. § 1591 and the FOSTA-SESTA legislation. Any content or communication that constitutes an advertisement for prostitution or sex trafficking is strictly prohibited and will be reported to law enforcement. Creators who engage in or facilitate trafficking will be permanently banned and prosecuted to the fullest extent of applicable law.

11. Representations and Warranties

By accepting this Agreement you represent and warrant that:

1. All information you provide during onboarding and verification is accurate and complete;
2. You are not a minor and will not depict or involve any minor in any content;
3. You own or have the right to grant the licenses set out in Section 3;
4. Your use of the Platform will comply with all applicable laws;
5. You have not been convicted of a sexual offense involving a minor.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ISM Studio LLC is not liable for any indirect, incidental, punitive, or consequential damages arising out of or related to this Agreement or your use of the Platform. Our aggregate liability to you for any claim arising out of this Agreement shall not exceed the total platform fees we retained from your account in the ninety (90) days preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless ISM Studio LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your content; (b) your breach of this Agreement; (c) your violation of any third-party right; or (d) any claim that your content or conduct caused harm to a third party.

14. Dispute Resolution and Governing Law

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising under or related to this Agreement that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding. You waive any right to a jury trial or to participate in a class-action proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent immediate, irreparable harm.

15. Modifications

We may modify this Agreement at any time by posting an updated version at this URL and updating the "Last updated" date. Material changes will be communicated by email or by prominent notice in your creator dashboard. Continued use of your creator account after the effective date of any change constitutes acceptance of the revised Agreement.
